1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and STEPlus ("Company," "we," "us," or "our") governing your access to and use of ChatWithDB, an AI-powered database analytics platform, including any related services, features, content, and applications (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ChatWithDB is an AI-powered tool that enables users to:

• Connect to databases (PostgreSQL, MySQL, MongoDB)
• Query databases using natural language powered by AI agents
• Generate SQL queries automatically using AI
• Visualize data through charts and tables
• Export query results in various formats

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Eligibility

You must be at least 16 years old and have the legal capacity to enter into these Terms. If using on behalf of an organization, you represent that you have authority to bind that organization.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your credentials.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring you have the right to access and query any databases you connect to the Service.

4.2 Prohibited Activities

You agree not to:

• Use the Service to access databases without authorization
• Attempt to circumvent security measures or access controls
• Use the Service for any illegal or fraudulent purpose
• Transmit malware, viruses, or malicious code
• Attempt to reverse engineer the AI models or algorithms
• Use automated systems to excessively load the Service
• Resell, sublicense, or redistribute the Service without permission
• Use the Service to compete directly with STEPlus
• Interfere with or disrupt the Service or servers

5. Database Connections & Data

5.1 Your Data

You retain all rights to your data. We do not claim ownership of any data in your connected databases. You grant us a limited license to access your databases solely to provide the Service.

5.2 Credentials

Database credentials you provide are encrypted using AES-256-GCM encryption. We only use these credentials to execute queries on your behalf. We recommend using read-only database users when possible.

5.3 Query Execution

You acknowledge that AI-generated queries are executed against your databases. You are responsible for reviewing queries before execution and for any consequences of query execution. We are not liable for data loss, corruption, or other damages resulting from query execution.

6. AI-Powered Features

6.1 AI-Generated Content

Our AI agents generate SQL queries and responses based on your natural language input. While we strive for accuracy, AI-generated content may contain errors. You are responsible for verifying the correctness and appropriateness of all AI-generated queries before execution.

6.2 Third-Party AI Providers

We use third-party AI providers (including OpenAI, Anthropic, Google, and DeepSeek) to power our natural language processing. Your queries (not database credentials) may be processed by these providers subject to their terms and privacy policies.

7. Subscription & Billing

7.1 Plans

We offer Free and Enterprise plans with different features and limits. Plan details and pricing are available on our website.

7.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

8. Intellectual Property

8.1 Our IP

The Service, including its design, features, AI models, and all related intellectual property, is owned by STEPlus. Nothing in these Terms grants you rights to our trademarks, logos, or brand features.

8.2 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated queries will be accurate or appropriate; (c) the Service will meet your specific requirements; or (d) any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEPLUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or data corruption
• Loss of profits or revenue
• Business interruption
• Damages from unauthorized database access
• Damages from AI-generated query execution

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless STEPlus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) unauthorized access to databases through your account.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data after 30 days
• Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days in advance. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

14. Governing Law & Disputes

These Terms are governed, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the related Association rules.

You waive the right to participate in class actions. Small claims court actions are permitted.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and STEPlus.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not waive future enforcement.
• Assignment: You may not assign these Terms without our consent.
